1. Introduction and Acceptance

Yelly is a mobile application (“App”) that uses location data to notify users when registered roadside vendors - selling fresh vegetables, fruit, and other goods or services — are passing nearby.

By downloading, installing, or using the App, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, please do not use the App.

These Terms apply to two categories of users:

  1. Customers: individuals who use the App to discover nearby vendors.
  2. Vendors: individuals or businesses who register their cart or vehicle and share their location through the App.

2. Eligibility

You must be at least 18 years old to create an account. By using the App, you confirm that you meet this requirement and that all information you provide is accurate and complete.

3. Account Registration

To access certain features, you must register for an account. You agree to:

  1. Provide accurate, current, and complete information during registration.
  2. Keep your login credentials confidential and not share them with others.
  3. Notify us promptly at info@yelly.in if you suspect unauthorised access to your account.
  4. Accept responsibility for all activity that occurs under your account.

Yelly reserves the right to suspend or terminate accounts that violate these Terms or are used fraudulently.

4. Location Data and Tracking

4.1 Customer Location

When you use the App as a Customer, we may access your device's approximate location to identify vendors nearby. Location access is used only while the App is in use (foreground access) unless you have explicitly granted background access. You may withdraw location permissions at any time through your device settings, though this will limit the App's core functionality.

4.2 Vendor Location

As a Vendor, you consent to sharing your real-time GPS location with the App while your availability is set to active. Your location is:

  1. Visible to nearby Customers in your vicinity as a general area indicator.
  2. Stored temporarily on our servers to power proximity notifications.
  3. Not retained beyond your active session unless required for service analytics or legal purposes.

Vendors can pause or stop location sharing at any time within the App.

4.3 Location Accuracy

We do not guarantee the accuracy or timeliness of location data. Vendor positions are approximate and subject to device and network limitations. Customers should verify vendor proximity before travelling.

5. Push Notifications

By using the App, you agree to receive push notifications when a registered vendor is detected near your location. You may manage notification preferences within the App or your device settings. Disabling notifications will prevent alerts about nearby vendors.

6. Vendor Obligations

Vendors who register on the App agree to:

  1. Provide accurate information about their goods.
  2. Only activate location sharing when actively vending.
  3. Comply with all applicable local laws, licences, and food safety regulations governing street vending.
  4. Not misrepresent the nature, quality, or availability of goods listed.

Yelly is not responsible for verifying vendor licences or the quality and safety of goods sold. Transactions between Customers and Vendors are solely between those parties.

7. Prohibited Conduct

You agree not to:

  1. Use the App for any unlawful purpose or in violation of any applicable law.
  2. Impersonate another user, vendor, or any person.
  3. Attempt to reverse-engineer, hack, or interfere with the App's systems.
  4. Use the App to stalk, harass, or monitor any individual.
  5. Scrape, collect, or store location data of other users or vendors beyond normal App use.
  6. Transmit spam, viruses, or any harmful or disruptive code.

8. Privacy

Your use of the App is also governed by our Privacy Policy, available at [Privacy Policy], which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, and protect your personal data, including location information. Please read it carefully.

In particular, we do not sell your location data to third parties. Location data is used solely to provide the core functionality of the App.

9. Intellectual Property

All content, branding, software, and features within the App are the property of Yelly or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the App for personal, non-commercial purposes.

You may not reproduce, distribute, modify, or create derivative works from any part of the App without our prior written consent.

10. Disclaimers

The App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Yelly does not warrant that:

  1. The App will be uninterrupted, error-free, or secure.
  2. Vendor location data will be accurate or up to date.
  3. Goods sold by vendors are safe, correctly labelled, or compliant with regulations.

Your use of the App and any reliance on vendor information is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Yelly and its officers, directors, and employees shall not be liable for any indirect, incidental, special, or consequential damages arising from:

  1. Your use of, or inability to use, the App.
  2. Inaccurate or outdated vendor location information.
  3. Any transaction or dispute between a Customer and a Vendor.
  4. Loss of data, revenue, or goodwill.

12. Indemnification

You agree to indemnify, defend, and hold harmless Yelly and its affiliates from any claims, losses, damages, or expenses (including legal fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

13. Third-Party Services

The App may use third-party mapping services (such as Google Maps) and cloud infrastructure. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for the availability or conduct of any third-party service.

14. Modifications to the App and Terms

Yelly may update, modify, or discontinue the App or any of its features at any time without notice. We may also revise these Terms periodically. When we do, we will update the "Last updated" date at the top of this document.

Continued use of the App after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms regularly.

15. Termination

You may stop using the App and delete your account at any time. We reserve the right to suspend or terminate your access without notice if you breach these Terms or engage in conduct we deem harmful to other users or the platform.

Upon termination, your right to use the App ceases immediately. Provisions of these Terms that by their nature should survive termination will do so, including sections on liability, indemnification, and intellectual property.

16. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, India.
